First mandatory climate year: what must board and management papers align on?

Ng Yik Ling Stephanie |Associate Director

Context: From FY2025 Hong Kong listed issuers face mandatory Scope 1 and 2 GHG disclosure — board papers and investor messaging prep (written after the author joined the firm in October 2025)

This note is written against the 2025 Hong Kong market and regulatory node: From FY2025: all issuers mandatory Scope 1 and 2; other Main Board climate disclosures on comply-or-explain. On the question framed by “First mandatory climate year: what must board and management papers align on?”, Drawing on more than eighteen years in Hong Kong banking, mortgage credit and corporate client coverage, and on board-paper, restructuring and listing advisory, and banking/financial PR practice: fold regulatory calendars, creditor asks and executive arrangements into one client plan.

As mandatory disclosure nears, the usual gap is not a missing ESG chapter—it is board papers, bank questionnaires and investor Q&A talking past each other. Settle boundary, ownership and timetable in one client plan. The usual gap is not a missing ESG chapter—it is board papers, bank questionnaires and investor Q&A talking past each other. Settle data boundary, ownership and timetable before going external.

Three items to lock in practice

Stephanie Ng: drawing on banking/financial PR and board-paper practice, what data boundaries, ownership and timelines management briefs and investor/creditor messaging must settle before FY2025 Scope 1/2 mandatory disclosure. Interim-executive settings are especially hazardous: data still being fixed inside while targets and assurances are already demanded outside. A speaking matrix and a no-commit list must precede the creditor meeting. Regulated activities remain with the client’s licensed intermediaries.

In listing support and restructuring, climate and ESG upgrades often surface mid diligence. Parallel checklists for sponsors, creditors and the board invite version conflict. The Associate Director job is to hold multi-disciplinary work to a single plan: who owns the regulatory window, who owns creditor commitments, who speaks externally in transition, and which figure version is approved for all three. Financial PR earns its keep by turning those decisions into language investors and creditors can check—not by adding a late paragraph that “we care about climate.” Inconsistent figures hurt more than silence. For FY2025 Scope 1/2 mandatory disclosure and the 2026 LargeCap climate mandate, that convergence work is no longer optional colour; it is core Finance/Listing support.

In practice we ask management to lock three items before external messaging: whether data and reporting boundaries are written down; whether owners appear on the board or management calendar; and whether board papers, bank questionnaires and investor Q&A share one data cut-off and assumption version. Missing any one of these turns the 2025 signal into a one-off scramble rather than a repeatable management rhythm. For traditional industries and listed issuers alike, the cost of rebuilding narrative every year exceeds the cost of naming owners and sources once. That is true whether the year’s headline is CSR language, comply-or-explain upgrades, green-bond market infrastructure, CASG coordination, or phased climate mandates.

The firm’s service spectrum keeps Consulting, ESG and Governance, and Finance/Listing on one continuum so narrative, measurement and delivery do not diverge under pressure. Clients remain responsible for their board decisions and for engaging licensed intermediaries where required. Our role is to help convert milestone rules into calendars, owners and checkable numbers—and to keep external messaging honest about what is measured and what is still explained. That approach travels from the CSR-era starting point through each subsequent Hong Kong upgrade without requiring a new vocabulary every year.

  • Boundary: which entities and topics enter this year’s disclosure or financing narrative; how exclusions are explained.
  • Ownership: who approves assumptions, who answers to the board, who signs bank/investor replies.
  • Calendar: alignment with annual/interim reporting and loan or transaction timetables.
